For those who want to contribute more than a title
The board member
You already serve on a board and want to give structure to your experience: updated knowledge of liability, a sharper financial overview and a more systematic approach to strategy.
The future board professional
You are heading towards your first seat and want to be able to say yes on an informed basis, knowing what to examine before you sign.
The owner-manager
You own or run a company and want to professionalise your own board and use it as a strategic asset rather than a formality.
The executive and the leader
You want to understand the board’s perspective and strengthen the interplay between management and board, both in your current role and in a future board position.
The entrepreneur and the specialist
You have built companies or developed deep professional expertise and want to bring your competencies into play in a board setting.
You do not need a board seat yet. The education is for those who sit at the table today and for those who have decided to take a seat at it. Both require the same thing: being prepared before it counts.
What participants say
I have plenty of board experience, but I lacked a theoretical framework. Board Institute delivers all of that in just three days.
Practical knowledge, lasting value
What you take with you
Legal clarity
You know the board’s responsibilities and your own. You know where the lines are drawn, and when to push back.
A method for due diligence
You know exactly what to examine before accepting a board seat, and when to say no.
Stronger financial literacy
You see through the financial statements, ask the sharp questions and catch the warning signs before they become problems.
Strategic tools
You can challenge, qualify and stress-test the company’s strategy and follow up on execution without taking over management’s role.
Insight into your personal contribution
Through a personal competency profile, you gain clarity about what you bring to the table, how to put your strengths into play, and how different profiles complement each other on a board.
A strong professional network
You leave the education with relationships to owner-managers, executives and board professionals across industries, and the opportunity to continue in the alumni network.
Provides real insight into the responsibility and the risks you take on when serving on a board. Highly instructive, and challenging both professionally and personally.

Board liability, company law and the risks of the future
This module lays the legal foundation: the board’s duties and responsibilities, the division of roles between owners, board and management, and the personal liability that comes with the seat. You work with due diligence before accepting a board seat, with governance and effective board work, and with the future outlooks that should shape strategic decisions. You work on real business cases, and Niels Mikkelsen shares his experience from the Hesalight case, in which the board faced a damages claim of DKK 200 million.
Key topics: The board’s duties and responsibilities under the Companies Act · Personal liability for damages · Due diligence before you say yes, with checklist · Governance and effective board work · The division of roles between owners, board and management · Futures research and megatrends from a board perspective
After this module you can, among other things: Identify key legal risks · Understand your personal liability · Ask the necessary questions before accepting a board seat · Assess how future changes will affect the company
Teachers: Jackie Phillip · Morten Breum-Leer · Niels Mikkelsen · Daria Krivonos
Financial literacy, risk management and board composition
The financial statements are one of the board’s most important sources for understanding the company’s financial reality, but only if you can read and challenge them. This module covers the board’s responsibility for financial reporting: the income statement, balance sheet, liquidity, key ratios, and risks and warning signs. You train in asking management sharp questions about the company’s finances. The module then turns to the table itself: how a value-creating board is composed, and how your personal competencies, strengths and development areas come into play.
Key topics: The board’s responsibility for financial reporting · Income statement, balance sheet and liquidity · Key ratios, risks and warning signs in the accounts · Accounting dilemmas from real cases · Board composition and recruitment · Personal competency profile · Put your board talent into play
After this module you can, among other things: Identify significant warning signs in financial statements · Ask better, more precise questions about the finances · Assess the company’s financial development · Understand how different competencies and profiles complement each other on a board

Strategy, execution and meaningful leadership
The board sets the overall strategic direction, while management is responsible for day-to-day execution. In practice, this requires a clear division of roles and a strong strategic dialogue. This module works with the board’s role in strategy, the strategic dialogue between board and management, and decision-making under uncertainty. You learn to stress-test a strategy and to follow implementation without taking over management’s role, and you work with the interplay between strategy, culture and leadership: how the organisation unites behind the chosen direction, so the strategy becomes more than a document.
Key topics: The board’s role in strategy work · The strategic dialogue with management · Robust strategies and stress-testing · Decision-making under uncertainty · Implementation and execution · Meaningful leadership and culture
After this module you can, among other things: Qualify and challenge a strategy · Identify strategic pitfalls · Follow up on execution · Strengthen the interplay between board and management · Understand the impact of culture on strategic results
